# Amendment to Founding Right 0.1 — The economics belong to members

**Status:** OPERATIVE PROJECT INSTRUMENT · NOT MEMBER RATIFICATION
**Adopted:** 28 August 2026
**Authority:** Founder-steward instruction
**Effect:** adds a right; subtracts none
**Decision receipt:** [The founder declines to set the economics](./receipts/2026-08-28-economics-deferred.md)

Founding Right 0.1 §7 requires a public diff and a decision receipt for any
amendment. This is the diff. All other text of
[Founding Right 0.1](./FOUNDING-RIGHT-0.1.md) is unchanged.

## Why

The founder-steward has declined to set the economics of OURS, on the grounds
that a decision binding a network of this intended size cannot be made by one
person while five people are in the ledger. See
[P-0002 v0.3](./P-0002-FOUNDING-COHORT-ECONOMICS.md).

Declining is not enough on its own. A refusal that lives only in a proposal
document can be quietly reversed by the same person who made it. Putting the
decision in the instrument is what makes it a right rather than an intention.

## Diff

### §2 — Rights carried by each active place

Insert after §2.4 (**Notice and record right**), renumbering the existing §2.5
as §2.6:

> **2.5 Economics-ratification right.** No instrument creating economic
> participation — surplus distribution, patronage units, fee exemption or any
> successor to them — may be adopted by OURS until it has been ratified by
> members under the published decision process. The founder-steward may not
> adopt one by decision receipt.

### §3 — Formation stages

Replace the second bullet:

```diff
-- **1—100,000:** guaranteed notice and participation in the nomination window
--  for the first mission;
+- **1—100,000:** guaranteed notice and participation in the nomination window
+  for the first mission, **and the ratification of the first economic
+  instrument** (§3.1);
```

Insert after the list:

> **3.1 The economics ratification.** The first economic instrument is put to
> ratification when **no fewer than 100,000 places have been sealed**, and not
> before. The threshold is a floor. It may be raised by founder-steward
> receipt published before a vote opens; it may not be lowered, and it may not
> be changed while a vote is open.
>
> Before that vote, OURS must publish economic simulations that a member can
> run themselves — with editable assumptions and readable source — together
> with the securities, cooperative-law and tax review the instrument requires,
> and a published answer to what happens if there is never any surplus.
>
> A member who sealed a place before the vote opens votes in it, whatever their
> ordinal. Nobody is admitted to the founding cohort in order to be admitted to
> this vote.

### §5 — What this is not

Append:

> Founding Right 0.1 is also not a claim that economic participation will
> exist. Members may ratify an instrument, ratify a different one, or ratify
> none. "The members decide" includes deciding not to.

## What this does not change

- No place may be bought, sold, transferred or inherited. Unchanged.
- One member, one vote, at any ordinal. Unchanged.
- The refusals in P-0002 §6 are constitutional and are not on the ballot.
- A Founding Right today carries **no claim on revenue, surplus, treasury or
  assets**, and this amendment creates none. It creates a vote, not a payment.
